1. Purpose and Legal Status
This Independent Marketers & Referral Disclosure (the "Disclosure") explains the limited and non-regulated role of independent marketers, affiliates, introducers, or referrers (collectively, "Independent Marketers") in connection with services made available within the Polar Tensor™ group.
This Disclosure is provided for transparency and consumer-protection purposes and must be read together with the applicable customer agreements, Risk Disclosure Statement, and Terms of Use.
Nothing in this Disclosure constitutes an offer of securities, investment advice, or regulated financial services by Independent Marketers.
2. Applicable Entities
Client onboarding, custody, execution, payments, and compliance are performed exclusively by licensed or registered group entities, including:
- Polar Tensor™ US LLC – U.S. and non-EU international clients
- Polar Tensor™ Europe SP ZOO – EU-resident clients
- Polar Tensor™ Corp. – execution technology only
- Polar MSB Inc. – payment and fiat on/off-ramp services
Independent Marketers are not part of the group and do not perform regulated activities.
3. Permitted Role of Independent Marketers
Independent Marketers may be engaged solely to:
- provide general, factual information about the availability of services;
- promote brand awareness and educational content of a general nature; and
- refer prospective users to official websites or onboarding channels.
Their activities are limited to commercial introduction only.
4. Prohibited Activities
Independent Marketers must not, directly or indirectly:
- Receive, hold, control, transmit, or safeguard client funds or crypto-assets.
- Onboard clients, open accounts, or perform KYC/AML checks.
- Provide investment advice, trading advice, or personalised recommendations.
- Exercise discretion over trading activity or client decisions.
- Represent themselves as licensed, regulated, or authorised financial service providers.
- Make guarantees or promises regarding performance, returns, or capital protection.
- Collect fees from clients or alter fee structures.
Any such activity is strictly prohibited.
5. No Licensing or Regulatory Status
Independent Marketers:
- are not crypto-asset service providers, money transmitters, broker-dealers, investment advisers, or portfolio managers;
- do not hold themselves out as licensed or regulated entities; and
- do not act on behalf of regulators or supervisory authorities.
Their activities are limited to unregulated marketing and referral functions only.
6. Compensation and Incentives
Independent Marketers may receive compensation for referral or promotional activity, subject to contractual terms.
Such compensation:
- does not grant authority or control over client assets or services;
- does not influence execution, custody, or withdrawal decisions; and
- does not create any fiduciary or advisory relationship with clients.
Compensation arrangements do not affect the independence of licensed entities' regulatory obligations.
7. Client Responsibility and Verification
Clients are responsible for:
- verifying that onboarding occurs exclusively through official websites or authorised platforms; and
- ensuring that any information relied upon originates from official documentation.
The group does not accept responsibility for statements made by Independent Marketers that are inconsistent with official disclosures.
8. Regulatory Consequences
Under the limitations described in this Disclosure:
- Independent Marketers do not perform regulated financial services;
- no additional licensing or registration is required for their limited role; and
- all regulated activities remain with the applicable licensed entity.
Any deviation from these limitations may result in immediate termination of the marketer relationship and further action where required by law.
9. No Agency or Partnership
Independent Marketers act as independent contractors only.
Nothing in this Disclosure creates:
- an agency relationship;
- a partnership or joint venture; or
- authority to bind any group entity.
10. Amendments
This Disclosure may be updated from time to time to reflect legal, regulatory, or operational changes.
